A aprovação do plano de recuperação de empresas: uma questão de escolha à luz da teoria dos jogos

Resumo

A superação da crise da empresa, por meio da recuperação tratada na Lei nº 11.101/2005, depende da escolha dos credores em aprovar ou rejeitar o plano de recuperação. A legislação incentiva estratégias e manobras entre os credores e as suas classes, que, na visão da teoria dos jogos, podem propiciar escolhas positivas ou negativas à coletividade. O Poder Judiciário e o devedor também têm seu papel fundamental nestas escolhas, as quais podem determinar a continuidade do negócio empresarial em esgotamento financeiro temporário e recuperável ou a falência. O objetivo deste trabalho é analisar a interferência e as escolhas do devedor, dos credores e do Poder Judiciário na aprovação do plano de recuperação, sob o aspecto ótimo das estratégias econômicas maximizadoras dos interesses da coletividade e da eficiência econômica. A pesquisa se dará através do estudo do conjunto de elementos e conceitos da teoria dos jogos, mediante a verificação de legislação, pesquisa doutrinária, consulta de textos, artigos e obras condizentes ao tema pesquisado. Por fim, infere-se que a conduta dos agentes fica adstrita às relações internas das partes, em especial dos credores, porém necessário tolher o oportunismo, as externalidades negativas e os custos de transação.

ABSTRACT: Overcoming the crisis of the company, by retrieving treated in Law nº 11.101/2005 depends on the choice of lenders to approve or reject the reorganization plan. The legislation encourages strategies and maneuvers between lenders and their classes, which in the view of game theory, can lead to positive or negative collective choices. The Judiciary and the debtor also have their fundamental role in these choices, which can determine the continuity of business enterprise in temporary and recoverable financial exhaustion or bankruptcy. The objective of this work is to analyze the interference and the choices of the debtor, the creditors and the Judiciary in the approval of the recovery plan , under the great aspect of maximizing the interests of the community and economic efficiency economic strategies. The research will be through the study of the set of elements and concepts of game theory, by checking legislation, doctrinal research, consultation of texts, articles and researched the consistent theme works. Finally, it appears that the conduct of agents is enrolled internal relations of the parties, particularly creditors, but needed stunt opportunism, negative externalities and transaction costs.
